Paralegal (CORES III) - Calgary, AB

Job Description

Our client is seeking an experienced Paralegal (Corporate Services Department) to join their team. The ideal candidate will hold a CORES III accreditation and bring a strong background in corporate paralegal work, particularly within a large or mid-sized firm environment. This position offers a hybrid work model based in Calgary, AB, requiring periodic in-office attendance as business needs dictate.

Working under the supervision of lawyers, the Paralegal will perform a wide range of legal and administrative duties including drafting and preparing complex documents, coordinating transactions, managing databases, and supporting the corporate services team through all stages of the corporate legal process.

Responsibilities:

  • Draft and prepare various legal documents under lawyer supervision, including:

    • Agreements and resolutions

    • Complex share provisions

    • Documents for corporate and tax reorganizations

    • Incorporation and organization documents, amalgamations, amendments, continuances, and dissolutions

    • Closing agendas and related materials

  • Assist with transaction closings, file management, and post-closing documentation.

  • Update and maintain internal databases and document management systems.

  • Meet regularly with lawyers to receive instructions and provide project updates.

  • Conduct research and analysis related to corporate law and governance.

  • Manage workflow to meet multiple deadlines and priorities while maintaining accuracy and attention to detail.

  • Handle sensitive and confidential matters with discretion and professionalism at all times.

  • Contribute to a collaborative, client-focused team environment and demonstrate strong communication and problem-solving skills.

Requirements

  • Completion of a post-secondary Legal Assistant or Paralegal diploma (or an equivalent combination of education and experience).

  • Minimum of 4–5 years of paralegal experience, preferably within a large or mid-sized firm.

  • CORES III accreditation is required.

  • In-depth understanding of corporate legislation and procedures.

  • Strong verbal and written communication skills.

  • Excellent attention to detail, organization, and time management.

  • Ability to manage competing priorities and meet deadlines in a fast-paced environment.

  • Proficiency in Microsoft Office and willingness to learn new legal software and technology.

  • Collaborative, adaptable, and client service–oriented approach.

  • Demonstrated ability to handle confidential information with integrity and discretion.
